AREAS OF PRACTICE

The firm’s areas of practice include, but are not limited to, the following:-

In relation to each area of practice, the firm’s services extend from general advisory work to documentation, negotiation and litigation. Our principal activities include the following:-

 

(i).        Corporate and Commercial Matters

(a)   Mergers and Acquisitions in respect of several public listed companies and private limited companies.

(b)   Joint Venture/Shareholders’ Agreement in respect of:-

  • property development joint ventures;
  • manufacturing and distribution joint venture;
  • energy generation joint venture; and
  • other joint ventures.

(c)   Legal Due Diligence Review in relation to:-

  • Mergers and Acquisitions satisfied by the issuance of shares;
  • Issue of Redeemable Bank Guaranteed Bonds with and without Warrants;
  • Corporate restructuring exercises pursuant to Section 176 Companies Act, 1965;
  • The listing of and quotation for ordinary shares of various companies on the Kuala Lumpur Stock Exchange (Main Board and Second Board); and
  • Issues of rights/special/bonus shares.

(d)   Private Debt Securities/Corporate Banking and Finance – the documentation for the following banking/ credit facilities or related transactions:-

  • Term Loan Facilities;
  • Bank Guarantee Facilities;
  • Revolving Credit Facilities;
  • Trade Finance;
  • Private Debt Securities (both Islamic and Conventional);
  • Islamic Banking Facilities under the Syariah principles of Al-Ijara, Al-Bai Bithaman Ajil, Al-Murabahah, Al-Istisna, Musharakah and Qard-Ul Hasan; and
  • Retail Banking such as housing loans (both Islamic and conventional).

(e)   Corporate Conveyancing – the documentation for the acquisition and disposal of equity in various public listed companies and private limited companies.

(f)   Land Conveyancing – The sale and purchase agreements for various office buildings, commercial complexes, agricultural/plantations land and residential properties located within the Klang Valley as well as within Peninsular Malaysia.

(g)   Others

  • Manufacturing and Distribution Agreements;
  • General Services Agreement;
  • Corporate Partnership Agreements;
  • Memorandum of Understanding.

 

(ii).       Litigation

(a)   General civil litigation which includes, debt recovery, defamation, landlord and tenant disputes, breach of contracts, specific performance, injunctions, insurance claims on death and personal injury etc;

(b)   Corporate/Commercial litigation which includes, breach of contracts and debt recovery in respect of share financing agreements, contra losses, factoring, hire-purchase etc;

(c)   Execution Proceedings, which include, winding up, bankruptcy, foreclosure, eviction, distress, seizure and sale involving an aircraft etc.

 

(iii).      Labour/Industrial Relations

(a)   Conciliatory matters pertaining to litigation; and

(b)   Rights of employers/employees.

 

(iv).      Arbitration

(a)   Construction;

(b)   Supply contracts; and

(c)   Shareholder Agreement.
